This website and platform are operated by RunToPlay Inc ("RunToPlay"). By visiting our site and/or purchasing a service or product from us, you engage in our services and agree to be bound by these Terms of Service.
We reserve the right to update, change, or replace any part of these terms at any time. Your continued use of the website after any updates constitutes acceptance of those changes.
By visiting third-party marketplaces used for digital asset interactions, including www.opensea.io, you also agree to the terms and conditions of those providers.
RunToPlay includes digital artworks and related digital assets on blockchain networks. This website is for informational and transactional purposes and services are provided "as is" and "as available." You are solely responsible for managing your wallet credentials and validating on-chain transactions before approval.
Ownership
When you purchase a RunToPlay NFT, you own the NFT and underlying artwork associated with that specific token as recorded on the Ethereum blockchain.
Ownership of the NFT is ruled by the smart contract and Ethereum network terms. We have no ability to seize, freeze, or otherwise modify ownership of any RunToPlay NFT.
Personal Use
Subject to continued acceptance of these terms, RunToPlay grants you a worldwide, royalty-free license to use, copy, and display purchased art for personal, non-commercial use.
You may also display the art in marketplaces or third-party applications that cryptographically verify ownership and only display art while you are the rightful owner.
Commercial Use
Commercial use of RunToPlay artwork is not permitted unless explicitly authorized by RunToPlay in writing.
RunToPlay Intellectual Property
Other than rights expressly granted to art you own, nothing in these terms grants rights to trademarks, logos, or other intellectual property belonging to RunToPlay.
RunToPlay owns all legal right, title, and interest in the RunToPlay brand, logo, domain names, and related materials, including all associated intellectual property rights.
Fees & Payment
Purchases, mints, and transfers conducted on-chain are processed via blockchain infrastructure and may include third-party transaction costs.
Ethereum transactions require payment of network fees ("Gas Fees"). You are responsible for those fees and for validating transaction details before approving them.
We do not control blockchain confirmations and cannot reverse completed blockchain transactions.
Feedback
You may submit comments, bug reports, and suggestions. By submitting feedback, you grant RunToPlay a perpetual, irrevocable, nonexclusive, worldwide license to use that feedback without additional compensation.
Assumption of Risk
You acknowledge and accept risks associated with blockchain assets, including volatility, changing regulations, technical failures, wallet compromise, custody errors, fraud, cyberattacks, and loss of private keys.
You are solely responsible for assessing suitability and risk tolerance regarding NFT-related activities and for tax obligations tied to your transactions.
RunToPlay does not guarantee that NFTs will retain value or that any secondary market will exist or remain available.
Law & Venue
These terms are governed by the laws of Ontario, Canada. Disputes relating to these terms will be resolved by courts of competent jurisdiction in Ontario, Canada.
Eligibility
You may not purchase or use RunToPlay NFTs or artwork if you are unable to form legally binding contracts or if transactions are prohibited under applicable sanctions or laws.
Indemnity
You agree to defend, indemnify, and hold harmless RunToPlay and its affiliates, officers, directors, employees, and representatives from claims and losses arising out of your breach of these terms, misuse of services, or infringement of third-party rights.
Taxes
You are solely responsible for all taxes and charges associated with NFT and digital asset transactions. RunToPlay does not provide tax advice.
Interpretation & Entire Agreement
These terms constitute the entire agreement between you and RunToPlay regarding the subject matter herein and supersede prior understandings related to these services.
Our Waiver
Failure by RunToPlay to enforce strict compliance with any provision of these terms does not constitute a waiver of that provision or any other rights.
